Welcome to Curve.Book. These Terms and Conditions of Use ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "user"), and Curve.Book ("we", "us", or "our"), concerning your access to and use of the Curve.Book website, mobile application, and any other media form, media channel, or mobile website related, linked, or otherwise connected thereto (collectively, the "Platform").

By accessing or using our Platform, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Platform and must discontinue use immediately.

1. Description of the Service

Curve.Book provides an online platform that facilitates peer-to-peer book swapping, exchanging, and sharing. The Platform allows users to list books they own, browse books listed by other users, and arrange mutual swaps or exchanges. You acknowledge and agree that:

• Curve.Book is a facilitator of the platform and does not act as a seller, buyer, or owner of any books listed by users.
• We do not inspect, verify, or guarantee the condition, quality, safety, legality, or availability of any books listed on the Platform.
• All transactions, shipping arrangements, and exchanges are conducted directly between users at their own risk and expense.

2. Eligibility and Account Registration

To access certain features of the Platform, you may be required to register for an account. By creating an account, you represent and warrant that:

1. You are at least 18 years of age, or have reached the age of majority in your jurisdiction of residence, or possess legal parental or guardian consent to use the Platform.
2. All registration information you submit is truthful, accurate, current, and complete.
3. You will maintain the accuracy of such information and promptly update it as necessary.
4. You are responsible for maintaining the confidentiality of your account credentials, including password, and for all activities that occur under your account.

We reserve the right to suspend or terminate your account if any information provided is false, inaccurate, out-of-date, or incomplete, or if we suspect unauthorized or illegal use of your account.

3. User Conduct and Content Guidelines

When using the Platform, you agree to abide by all applicable local, state, national, and international laws and regulations. You are solely responsible for any content you post, upload, or transmit through the Platform, including book descriptions, images, reviews, and messages (collectively, "User Content").

You agree not to post, upload, or distribute User Content that:

• Is false, misleading, inaccurate, or deceptive.
• Infringes upon any third-party intellectual property rights, including copyrights, trademarks, or proprietary rights.
• Contains defamatory, obscene, pornographic, offensive, abusive, harassing, or threatening material.
• Promotes discrimination, bigotry, racism, hatred, or harm against any individual or group.
• Contains viruses, malware, or any other harmful code designed to disrupt or damage the functionality of the Platform.

We reserve the right, but do not assume the obligation, to monitor, review, edit, or remove User Content at our sole discretion, without notice, if we determine it violates these Terms.

4. Book Exchange (Swap) Rules and Shipping

Users who participate in book swaps must adhere to the following guidelines to ensure a fair and positive community experience:

• Accurate Descriptions: You must describe the physical condition of the books you list accurately (e.g., highlighting any damage, markings, missing pages, or wear).
• Shipping Responsibilities: Unless otherwise agreed upon by both parties, each user is responsible for the costs and logistics of packaging and shipping their book to the designated swap partner. We highly recommend using trackable shipping methods.
• Timely Dispatch: Once a swap is confirmed, users should dispatch the book within a reasonable timeframe (typically within 3 to 5 business days) and provide tracking information to the swap partner if available.
• Disputes Between Users: Any disputes arising from a swap (e.g., non-delivery, damaged goods, incorrect items) must be resolved directly between the participating users. While Curve.Book may offer mediation tools, we are under no obligation to resolve disputes or offer compensation for lost, stolen, or damaged items.

5. Intellectual Property Rights

Unless otherwise indicated, the Platform, including its source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), and the trademarks, service marks, and logos contained therein (the "Marks"), are owned or controlled by us or licensed to us, and are protected by copyright, trademark, and other intellectual property laws of the United States and foreign jurisdictions.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use in accordance with these Terms. You may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit any portion of the Platform or Content for any commercial purpose without our express prior written permission.

6. Disclaimer of Warranties

The Platform is provided on an "as-is" and "as-available" basis. You agree that your use of the Platform and our services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Platform and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranties or representations about the accuracy or completeness of the Platform’s content or the content of any websites linked to this Platform. We assume no liability or responsibility for any (1) errors, mistakes, or inaccuracies of content and materials, (2) personal injury or property damage of any nature whatsoever resulting from your access to and use of the Platform, (3) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein, (4) any interruption or cessation of transmission to or from the Platform, or (5) any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available via the Platform.

7. Limitation of Liability

In no event will Curve.Book, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Platform, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

8. Indemnification

You agree to defend, indemnify, and hold Curve.Book, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your User Content; (2) your use of the Platform; (3) your breach of these Terms; (4) any breach of your representations and warranties set forth in these Terms; or (5) your violation of the rights of a third party, including but not limited to intellectual property rights.

9. Governing Law and Dispute Resolution

These Terms and your use of the Platform are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in the United States, and the parties hereby consent to the personal jurisdiction and venue therein.

Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, or termination thereof, shall be resolved by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association (AAA). The arbitration shall be conducted by a single arbitrator, and the judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

10. Modifications to Terms and Services

We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting a notice on the Platform or sending an email notification. What constitutes a material change will be determined at our sole discretion. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.
